Payvera Platform Agreement

This Agreement is between you ("Merchant") and Gheorghe SRL (trading as Payvera, "we", "us"). By creating a Payvera account or activating your dashboard you accept this Agreement.

1. What Payvera provides

Payvera is a software-as-a-service platform that:

  • creates hosted checkout sessions and Stripe Payment Intents on your behalf;
  • renders a branded checkout to your customers;
  • maintains a dashboard, API, and webhooks for your transaction data;
  • routes the per-transaction settlement to your connected Stripe account via Stripe Connect.

Payvera is not a regulated payment service provider. We do not hold customer funds at any time. Funds flow directly from Stripe to your bank account.

2. Your Stripe account

To use Payvera you must connect a Stripe Standard account in your business's legal name. You enter into a direct agreement with Stripe Payments Europe, Ltd. and are subject to their Connected Account Agreement. Stripe is solely responsible for KYC, AML checks, settlement, and payout timing.

3. Fees and commission

You authorise Payvera to collect a per-transaction commission via Stripe's application_fee_amount mechanism. The default commission is:

  • 1.5% + €0.20 per successful charge, on top of Stripe's own processing fee.

Stripe's own fees (currently 1.4% + €0.25 for EEA cards, 2.5% + €0.25 for non-EEA cards) are deducted by Stripe directly. The Payvera commission appears on your Stripe dashboard as an "application fee" and is settled to Gheorghe SRL.

Payvera may change the commission with 30 days' written notice sent to your account email. Continued use after the effective date constitutes acceptance.

4. Your responsibilities

  • You are the merchant of record for every transaction. Goods, services, delivery, support, refunds, taxes, and consumer-law compliance are your responsibility.
  • You will display accurate prices, descriptions, refund policies, and contact information at checkout.
  • You will not use Payvera for any business listed in our Acceptable Use Policy.
  • You will keep your dashboard credentials and API keys secret. You are responsible for any activity performed with them.
  • You will respond to dispute and chargeback notifications within the deadlines set by Stripe and the card schemes.

5. Refunds and chargebacks

Refunds you issue are funded from your Stripe balance. By default, the Payvera commission on a refunded transaction is not returned to you (it remains in Gheorghe SRL's Stripe balance). This mirrors Stripe's default behaviour for partial refunds.

Chargeback liability sits with you. Stripe will debit the disputed amount plus any scheme fees from your Stripe balance. Payvera does not assume chargeback risk.

6. Data processing

Payvera processes personal data on your behalf in accordance with our Privacy Policy, which forms a Data Processing Addendum to this Agreement. Sub-processors: Stripe (payment processing), Lovable Cloud / Supabase (database hosting in the EU).

7. Suspension and termination

We may suspend or terminate your account if you breach this Agreement, if Stripe terminates your connected account, or if we are required to do so by law. You may terminate at any time by disconnecting Stripe and emailing hello@payvera.ro. Termination does not affect transactions already initiated.

8. Limitation of liability

To the maximum extent permitted by law, Payvera's aggregate liability under this Agreement is limited to the total commission paid by you to Gheorghe SRL in the 12 months preceding the claim. We are not liable for loss of profit, revenue, goodwill, or any indirect or consequential loss.

9. Governing law and disputes

This Agreement is governed by the laws of Romania. Disputes will be resolved by the competent courts of Bucharest.

Payvera is a product of Gheorghe SRL, a company registered in Romania. Payment processing is provided by Stripe Payments Europe, Ltd., a regulated payment institution.
